On November 15, 2006, Heartland Cup Inc. ("Heartland"), a subsidiary of AMS Health Sciences, Inc. (the "Company"), entered into certain lease and purchase agreements with Republic Plastics Ltd. ("Republic") allowing Republic to take over operation of the Heartland plant immediately. Further details of the transaction and the transaction's effect on the Company are described in the press release attached hereto as Exhibit 99.1.

Upon closing of the Stock Purchase Agreement, we acquired 2,000,000 shares, or approximately 83% of the outstanding capital stock of Heartland, for 200,000 shares of our common stock. In addition, we paid approximately $200,000 to acquire the remaining shares of Heartland. Heartland is a manufacturer of foam cups, distributed through a number of contracts. OKLAHOMA CITY OKLAHOMA CITY--(BUSINESS WIRE)--AMS Health Sciences, Inc. (AMEX:AMM - News) announced the execution of certain lease and purchase agreements between Heartland Cup Inc. and Republic Plastics Ltd. (collectively, the "Agreements"). Republic Plastics is located in McQueeney, Texas and produces Styrofoam products for private label users. The transaction will permit Republic to take over operation of the Heartland plant immediately. Pursuant to the Agreements, and effective November 15, 2006, Republic Plastics assumed the existing lease for the Heartland plant, purchased all remaining cup contracts with Heartland customers, and executed a two-year equipment lease. The equipment lease includes an option in favor of Republic Plastics to purchase all the equipment utilized in the Heartland operations at a specified price. The option period begins November 15, 2007 and ends November 15, 2008.
